These Terms of Use (“Terms”) govern your access to and use of sovatalents.com and the services offered by SOVATalents (“SOVATalents”, “we”, “us” or “our”). By using our website or engaging our introduction service, you agree to these Terms. If you do not agree, please do not use the site.

1. About SOVATalents

SOVATalents is a curated directory of certified Filipino freelancers — graduates of PinoySEO.ph and SOVA (School of Virtual Assistance). We introduce businesses (“clients”) to vetted talent. Browsing the directory and contacting talent through us is free. We are an introduction service; we are not an employer, staffing agency, or party to the working relationship between a client and a talent once an introduction is made.

2. Eligibility

You must be at least 18 years old and able to form a legally binding contract to use our services. By using the site you represent that you meet these requirements and that the information you provide is accurate.

3. How the service works

You may browse the directory freely. When you find talent you would like to hire, you contact us through the site. Enquiries are routed to our team, who qualify your needs and personally introduce you to the best-fit talent. We facilitate the introduction; you and the talent agree your own working arrangement and rates directly.

4. Placement fee

Browsing and contacting talent is free. We charge a one-time placement fee — a flat fee starting from around USD 150, depending on whether the role is part-time or full-time — only when you decide to hire a graduate we introduced. The fee is payable once, at the point of hire, before the introduction is finalised. After that, your working relationship and all payments to the talent are entirely between you and the talent, with no ongoing commission or involvement from us. Fees are quoted before you commit and are non-refundable except as expressly set out in the replacement guarantee below.

5. 30-day replacement guarantee

If a talent we placed stops responding or leaves within the first 30 days of engagement, we will introduce a replacement from our community at no additional placement fee, provided that: (a) you paid the talent as agreed; (b) you notify us within 7 days of the issue; and (c) the role and requirements remain substantially the same. This guarantee is our sole obligation in such circumstances and does not entitle you to a refund of the original placement fee.

6. Relationship between client and talent

Talent listed on SOVATalents are independent contractors, not our employees, agents or representatives. We do not supervise, direct or control the work they perform for you. Any agreement, contract, payment, deliverable, deadline or dispute relating to the work is solely between you and the talent. You are responsible for conducting your own due diligence and for any agreements you enter into.

7. Vetting and no guarantee of outcome

Every talent listed has completed a PinoySEO or SOVA course and passed hands-on training tasks, and we hand-pick who appears in the directory. While we take care to list capable people, we do not guarantee any particular result, quality of work, availability, or that a talent will meet your specific expectations. Hiring decisions and outcomes are your responsibility.

8. Non-circumvention

Our service depends on clients engaging talent through us. If we introduce you to a talent, you agree not to arrange or attempt to arrange a hire of that talent for the purpose of avoiding the placement fee, whether directly or through a third party, for a period of twelve (12) months from the introduction. This clause protects the introduction service that makes our free directory possible.

9. Accuracy of listings

We aim to keep talent profiles accurate and up to date, but details such as skills, availability and rates may change. Profile information is provided for general guidance and should be confirmed with the talent before you engage them.

10. Acceptable use

You agree not to use the site to post false or misleading information; harass, abuse or harm our talent or team; scrape, copy or republish our directory or content without permission; attempt to gain unauthorised access to our systems; or use the service for any unlawful purpose.

11. Intellectual property

The SOVATalents name, logo, website design, and content are the property of SOVATalents or its licensors and are protected by applicable laws. You may not reproduce, distribute or create derivative works from our content without our prior written consent.

12. Disclaimers

The website and services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose or non-infringement. We do not warrant that the site will be uninterrupted, error-free or secure.

13. Limitation of liability

To the fullest extent permitted by law, SOVATalents and its team will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising out of or relating to your use of the site or any engagement with a talent. Our total liability for any claim relating to the service will not exceed the amount of the placement fee you paid to us for the relevant introduction.

14. Indemnification

You agree to indemnify and hold harmless SOVATalents and its team from any claims, damages, liabilities and expenses arising out of your use of the site, your engagement with any talent, or your breach of these Terms.

15. Third-party links

Our site may link to third-party websites, including PinoySEO.ph and SOVA.ph. We are not responsible for the content or practices of those sites.

16. Governing law

These Terms are governed by the laws of the Republic of the Philippines, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or your use of the service will be subject to the jurisdiction of the courts of the Philippines.

17. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “last updated” date at the top of this page. Your continued use of the site after changes take effect constitutes acceptance of the revised Terms.
